THC Investor Steering Group
Proposed governance structure: Chair, Vice-Chair, Task Owners, Sub-committees, Volunteers:

Participants in the Steering Group (SG) are volunteers and are verified investors in THC or the related group.

New Steering Group members should be nominated and approved by at least one other member before being added. The nominee should have spoken with and verified the new member by phone or video call.

Members of the Steering Group shall be entirely focused on the recovery of debt for the benefit of the collective.

No member should seek to benefit financially from their activity in the group and should not receive monetary benefits as a result of their activity, other than the recovery of their investment with THC.

Any meetings held with Administrators, Lawyers, Solicitors, Accountants, or other significant parties on behalf of the group should be attended by the nominated lead for the respective task and should be accompanied by one other member of the group.

All external communications with Administrators, Lawyers, Solicitors, Accountants, or other significant parties on behalf of the group should be conducted by the nominated lead for the respective task and shared back to the group as soon as possible.
Task Owners:

Lead delivery of tasks, working with other group members, sub-committee, and volunteers.

Provide updates via Slack and on the weekly meetings.

Prepare agenda and act as Chair in any meetings specific to their task.

Ensure appropriate governance is being followed on their tasks.
Suggested review/approval process for communications and decisions:

Min 2 Steering Group members + Chair or Vice-Chair should review/approve all formal communications on behalf of the Steering Group. Any commitments made on behalf of the group whether to key deliverables, deadlines, supplier engagements, anything that incurs a cost, etc. must have 3 Steering Group members + Chair, and VC. Majority votes on any issues with the Chair as a tiebreaker.

The Role of the Chair and Vice-Chair:

Set priorities as agreed by the SG at the weekly Friday meeting.

Provide leadership to ensure all priorities are met.

Ensure governance.

Chairing meetings.

Moderate decision-making.

Casting vote with deadlock.

ANNOUNCEMENT FROM THE STEERING GROUP

The Steering Group have discussed the potential benefit of formally appointing Jackson Robson Licence Chartered Accountants (JRLCA) to act officially, at arm’s length, as forensic accountants on our behalf as we draw nearer to the court hearings with Quantuma and we have decided to proceed with their appointment.
The use of professional forensic accountants places a legal obligation on Quantuma to reply to formal requests for information. JRLCA are fully apprised of our ongoing situation with THC and we feel it would be advantageous if they act for us (the investors) in a professional capacity going forward to ensure that our requests for information have the requisite legal gravitas. In order for us to appoint JRLCA we would advocate using the funds previously deposited with the Steering Group but are mindful that should any of those of you who contributed to it object, we will be happy to refund your contribution less any expenses paid out so far.
As a director of JRLCA, Geoff Mountain will ensure that his company will only invoice for time that is absolutely necessary; he is keen that the funds are used fairly, honestly and transparently and this will translate into the arrangements with them. We hope this sits well with you but if you feel you want to reclaim your contribution please get in touch by email (geoff@jacksonrobson.co.uk ) before the end of business on 10th July so we can make your refund.
